REFERRAL PROGRAM TERMS OF USE

THESE REFERRAL PROGRAM TERMS OF USE (THE “REFERRAL TERMS”) CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU (THE “REFERRER”, “YOU” OR “YOUR”) AND THE RELEVANT CEX.IO ENTITY.

BY PARTICIPATING IN THE CEX.IO REFERRAL PROGRAM, INCLUDING BY GENERATING, ACCESSING, SHARING OR USING A REFERRAL LINK OR REFERRAL CODE, OR BY CLAIMING OR RECEIVING A REFERRAL REWARD, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE REFERRAL TERMS.

DO NOT PARTICIPATE IN THE REFERRAL PROGRAM IF YOU DO NOT AGREE TO THESE REFERRAL TERMS.

These Referral Terms supplement and form part of the Terms of Use applicable to your Account. Capitalised terms used but not defined in these Referral Terms have the meanings given to them in the applicable Terms of Use.

Please refer to the Privacy Policy applicable to your Account for information on how CEX.IO collects, uses, stores and otherwise processes personal data in connection with the Referral Program.

KEY DEFINITIONS

“Applicable Law” means any applicable law, statute, regulation, rule, regulatory requirement, binding direction, order, judgment or other requirement of any governmental, judicial, supervisory or regulatory authority.

“Business Day” means a day other than a Saturday, Sunday or public holiday in the jurisdiction of the Relevant CEX.IO Entity.

“CEX.IO” means, depending on the context, the Relevant CEX.IO Entity or the CEX.IO group of companies. A reference to CEX.IO does not create joint or several liability between CEX.IO group companies.

“Pending Review” means the status applied by CEX.IO to a Referral Reward or referral activity while CEX.IO conducts validation, compliance, fraud-prevention, traffic-quality or other review under these Referral Terms.

“Prohibited Referral Activity” means any activity prohibited under Clauses 4 or 5.

“Qualifying Action” means the action or combination of actions specified in the applicable Referral Offer which a Referred User must validly complete before a Referral Reward may become payable.

“Referral Code” means a unique alphanumeric or other code issued or approved by CEX.IO for the purpose of identifying referrals made by a Referrer.

“Referral Link” means a unique URL, tracking link or other referral mechanism issued or approved by CEX.IO and associated with your participation in the Referral Program.

“Referral Materials” means any Referral Link, Referral Code, trade mark, logo, text, image, template or other material supplied or expressly approved by CEX.IO for use in connection with the Referral Program.

“Referral Offer” means a particular referral offer, campaign or programme made available by CEX.IO which specifies the applicable eligibility criteria, Qualifying Actions, Referral Reward and other commercial conditions.

“Referral Program” means any CEX.IO programme which allows an eligible Referrer to receive a Referral Reward for referring an eligible new User who completes the applicable Qualifying Action.

“Referral Reward” means any monetary or non-monetary reward, credit, rebate, Digital Asset or other benefit which may become payable to a Referrer under a Referral Offer.

“Referred User” means an eligible person who registers or otherwise participates using a valid Referral Link or Referral Code and is attributed to you in accordance with these Referral Terms and the applicable Referral Offer.

“Relevant CEX.IO Entity” means the CEX.IO group company which makes the applicable Referral Program available to you and is identified as the provider of your Account or relevant Services under the Terms of Use applicable to you.

For each Referral Offer, the Relevant CEX.IO Entity and, where different, the entity responsible for payment of any Referral Reward should be identifiable from the applicable Terms of Use, Referral Offer, platform page, account interface or other communication issued or approved by CEX.IO. These Referral Terms are supplemental and do not restate the general account, platform, product, risk, fee, complaint, dispute-resolution or entity-specific service terms already contained in the applicable Terms of Use.

Depending on your jurisdiction, residence, eligibility and the Services made available to you, the Relevant CEX.IO Entity may include:

CEX.IO Corp., principal address at 100 SE 2nd St, Suite 3852, Miami, FL, 33131 which provides its services on the Platform only to Users in the United States of America and from supported States, in respect of eligible Users served by CEX.IO Corp., and

CEX OVRS LLC, a limited liability company, established and existing under the laws of Nevis, company number: L 22275, with registered office address at Suite 1, A.L. Evelyn LTD Building, Charlestown, Nevis, in respect of eligible Users served by CEX OVRS LLC; or any other CEX.IO group company expressly identified as providing the relevant Referral Program from time to time.

Please be informed that the Referral Program for the UK is currently suspended until further notice.

Each Relevant CEX.IO Entity acts solely as principal in respect of the Referral Program made available by it. No CEX.IO group company assumes, guarantees or is jointly or severally liable for the obligations of another CEX.IO group company solely by reason of being part of the CEX.IO group.

The availability and conditions of the Referral Program may differ depending on the Relevant CEX.IO Entity, your jurisdiction, the jurisdiction of the Referred User and Applicable Law.

By entering the Referral Program regardless of the method of entry, you acknowledge that you have read, understand, and completely agree to these Referral Terms, as updated and amended from time to time. If you wish not to be bound by these Referral Terms, as updated and amended from time to time, you have to either: (1) never enter, generate or send Referral Code or Referral Link, or (2) cease your participation in the Program by opening a support ticket and completing the process required by CEX.IO.

Your participation in the Program is always entirely at CEX.IO’s discretion. You can be removed from the Referral Program at any time for any reason or no reason. If you violate the Referral Terms, you can be immediately removed from the Referral Program and any amounts you may have received or been entitled to receive under it may be forfeited.

1. DESCRIPTION

1.1. The Referral Program allows eligible Users to invite other eligible persons to use CEX.IO Services through any referral, attribution, invitation or approval mechanism made available, issued, approved or otherwise recognised by CEX.IO from time to time. Such mechanisms may include, without limitation, a Referral Link, Referral Code, QR code, unique referrer identifier, platform-generated invitation or any other technical, commercial or operational referral mechanism specified by CEX.IO for the relevant Referral Offer. Participation in the Referral Program is voluntary, subject at all times to eligibility, jurisdictional, product-availability, compliance, financial-promotion, sanctions, AML/CTF, fraud-prevention and other restrictions applicable to the Relevant CEX.IO Entity, and is not required to access or use the CEX.IO Platform or Services.

1.2. CEX.IO may make one or more Referral Offers available from time to time. Each Referral Offer may specify:

(a) the jurisdictions in which it is available;

(b) eligibility criteria applicable to Referrers and Referred Users;

(d) the amount, type or method of calculation of the Referral Reward;

(e) any minimum transaction or activity requirements;

(f) any limits applicable to the number or value of Referral Rewards;

(g) the duration of the Referral Offer;

(h) the method by which Referral Rewards may be credited or paid; and

(i) any other conditions applicable to the Referral Offer.

1.3. The applicable Referral Offer forms part of these Referral Terms. If there is any inconsistency between these Referral Terms, the applicable Referral Offer and the Terms of Use:

(a) the Referral Offer shall prevail solely in respect of the commercial conditions expressly set out in that Referral Offer;

(b) these Referral Terms shall prevail in respect of your participation in the Referral Program; and

For the avoidance of doubt, no Referral Offer may override any legal, regulatory, compliance, fraud-prevention or jurisdictional restriction contained in these Referral Terms unless expressly stated by the Relevant CEX.IO Entity.

1.4. Where a Referral Offer, Referral Reward, Qualifying Action or other referral-related mechanic is made available through the CEX.IO Reward Center, a promotional campaign, a task, mission, competition, giveaway, cashback, fee rebate, trading-fee balance top-up or other incentive arrangement, the CEX.IO Promotion and Reward Center Terms and any applicable Official Rules shall apply only to the extent relevant to the promotional, operational, opt-in, claim, expiry, display, task-completion and reward-delivery mechanics of that arrangement. These Referral Terms shall prevail in respect of referral-specific matters, including Referrer eligibility, Referred User eligibility, referral attribution, Referral Links, Referral Codes, approved referral mechanisms, Qualifying Actions, Referral Rewards, Prohibited Referral Activity, referral integrity, reward review, withholding, cancellation, clawback, suspension and termination of participation in the Referral Program. The applicable Official Rules may prevail solely in respect of the express commercial and operational mechanics of the relevant Referral Offer. Where both these Referral Terms and the Promotion and Reward Center Terms impose restrictions, conditions or compliance controls, the stricter or more protective requirement shall apply to the extent necessary to protect CEX.IO, the Relevant CEX.IO Entity, Users, Referred Users and the integrity of the Referral Program.

1.5. Each Referral Offer must be read together with the applicable Terms of Use. A Referral Offer may specify, without restating the Terms of Use, the Relevant CEX.IO Entity, eligible Referrer category, eligible Referred User category, approved and prohibited territories, applicable Services, Qualifying Action, Referral Reward, payment method, payment entity and referral-specific restrictions. A Referral Offer shall not be treated as available in any jurisdiction, for any product, or to any class of Referrer or Referred User unless such availability is expressly identified or confirmed by CEX.IO. CEX.IO may restrict, suspend, withdraw, amend or decline any Referral Offer, Referral Link, Referral Code, Referral Reward, payment method, territory, communication, Referred User or Referrer participation where reasonably necessary or appropriate for legal, regulatory, compliance, financial-crime, operational or risk-management reasons.

2. ELIGIBILITY

2.1. To participate in the Referral Program, you must:

(a) hold an eligible Account with CEX.IO, unless the relevant Referral Offer expressly provides otherwise;

(b) satisfy all verification requirements applicable to your Account;

(d) be located in a jurisdiction in which the relevant Referral Program is available;

(e) be legally permitted to participate in the Referral Program under Applicable Law; and

(f) satisfy any additional eligibility requirements specified in the applicable Referral Offer.

2.2. CEX.IO may require you to complete additional verification, compliance or eligibility checks before you may participate in, continue to participate in, or receive any Referral Reward under the Referral Program.

2.3. CEX.IO may reject, restrict, suspend or terminate your participation where reasonably necessary for legal, regulatory, compliance, fraud-prevention, security, operational or risk-management purposes.

2.4. Participation in one Referral Offer does not give you any right to participate in another Referral Offer or in any future referral, affiliate, promotional or reward programme.

2.5. Consent and lawful contact. Where a Referrer directly contacts, invites or submits details of a prospective Referred User, the Referrer must ensure that it has a lawful basis and, where required, valid consent to contact that person and to share or use any relevant information for referral purposes. CEX.IO is not responsible for any unlawful, unsolicited or non-compliant communication made by a Referrer.

2.6. Non-commercial nature of standard referrals. Unless the applicable Referral Offer expressly states otherwise, the Referral Program is intended for non-commercial referrals by eligible Users and must not be used as a professional, commercial, paid-media, affiliate, lead-generation, agency, broker, introducer or business-development arrangement. Any commercial, institutional, B2B, affiliate, paid-media, revenue-share or bespoke referral arrangement must be approved by CEX.IO separately in writing and may be subject to separate terms.

3. REFERRAL LINK AND REFERRAL CODE

3.1. CEX.IO may provide you with a unique Referral Link, Referral Code or other referral attribution mechanism which you may distribute to eligible persons in accordance with these Referral Terms.

3.2. You acknowledge and agree that:

(a) CEX.IO may limit the number of times a Referral Link or Referral Code may be used;

(b) you have no ownership or proprietary rights in any Referral Link or Referral Code;

(c) CEX.IO may modify, replace, suspend, deactivate or invalidate a Referral Link or Referral Code where reasonably necessary for the administration, security or compliance of the Referral Program; and

(d) a Referral Link or Referral Code may only be used for the purpose for which it was issued.

3.3. A person will be treated as a Referred User only where CEX.IO’s systems successfully attribute that person to you through a valid Referral Link or Referral Code.

3.4. Unless otherwise stated in the applicable Referral Offer, a Referred User may be attributed to only one Referrer. Where more than one Referral Link, Referral Code or referral attribution mechanism may apply, CEX.IO’s records shall determine the applicable attribution, subject to manifest error.

3.5. CEX.IO does not guarantee that every attempted referral will be successfully recorded or attributed. Referral attribution may be affected by browser or device settings, cookies, privacy settings, third-party software, use of multiple Referral Links or Referral Codes, technical interruptions, failure to complete the prescribed referral process, fraud-prevention controls or other circumstances outside CEX.IO’s reasonable control.

4. FRAUD PREVENTION AND REFERRAL INTEGRITY

4.1. All referrals and activity generated in connection with the Referral Program must result from genuine human activity and genuine interest in the relevant CEX.IO Services. You must not generate, procure, encourage or facilitate fraudulent, artificial, invalid, manipulated or otherwise non-genuine traffic, referrals, registrations or Qualifying Actions.

4.2. Without limitation, Prohibited Referral Activity includes:

(a) click flooding, click spamming, click clustering or artificially generated clicks or impressions;

(b) bots, scripts, automated traffic, bot farms or other non-human engagement;

(d) device farms or coordinated use of multiple devices, virtual machines, emulators, proxies or similar technologies for the purpose of manipulating referral attribution or eligibility;

(e) fake, duplicated, manipulated or automated registrations;

(f) fake, circular, artificial or manipulated deposits, transactions or other Qualifying Actions;

(g) malware-, adware- or other malicious software-driven traffic;

(h) manipulation, alteration, removal or falsification of Referral Links, Referral Codes, UTM parameters, attribution data, tracking information or source information;

(i) masking, disguising or misrepresenting the true source of a referral;

(j) forced clicks, auto-redirects, click injection, last-click hijacking, cookie stuffing or similar attribution manipulation;

(k) activity designed primarily to obtain, recycle or repeatedly harvest Referral Rewards, welcome bonuses, promotional credits or other incentives rather than genuinely use the relevant Services; or

(l) any other activity which CEX.IO reasonably determines to constitute fraud, manipulation, artificial traffic or abuse of the Referral Program.

4.3. CEX.IO may use its own systems and appropriate third-party fraud-prevention, attribution, analytics and security tools to review referral activity and identify suspicious or abnormal patterns.

4.4. Such review may take into account, without limitation:

(a) abnormal registration or referral volumes;

(b) unusual concentrations of clicks, registrations or Qualifying Actions;

(d) unusual timing or attribution patterns;

(e) repeated use of related devices, networks, payment methods or Accounts;

(f) patterns indicating coordinated, automated or non-human activity;

(g) abnormal registration-to-transaction or click-to-registration intervals; and

(h) other indicators reasonably associated with fraud, manipulation or abuse.

4.5. CEX.IO may establish confidential internal fraud-detection thresholds, risk parameters and validation rules from time to time. CEX.IO is not required to disclose such thresholds, parameters or rules where disclosure could undermine fraud-prevention, security, compliance or risk-management controls.

4.6. The recording, tracking or attribution of any click, registration, Referred User or Qualifying Action does not, by itself, create any entitlement to a Referral Reward. A Referral Reward becomes payable only after completion of the applicable validation, compliance and fraud-prevention checks under these Referral Terms.

4.7. Where CEX.IO reasonably identifies suspicious, fraudulent, artificial or otherwise invalid activity, CEX.IO may reject or invalidate the relevant traffic, referral, Referred User or Qualifying Action and exercise any rights available under these Referral Terms.

4.8. CEX.IO’s records and determinations concerning referral attribution, traffic validity and qualification for Referral Rewards shall prevail, subject to manifest error and any mandatory rights available to you under Applicable Law.

5. RESTRICTIONS

5.1. No self-referrals. You must not refer yourself or use an Account which you own, control or beneficially operate as a Referred User. You must not create or operate multiple Accounts, or coordinate with another person, for the purpose of circumventing this restriction.

5.2. Wash trading, self-trading and artificial volume. You must not refer, coordinate with or otherwise facilitate any person who engages in wash trading, self-trading, circular trading, matched trading, artificial volume generation or transactions which have no genuine economic purpose for the purpose of satisfying a Qualifying Action or generating or increasing a Referral Reward. CEX.IO may disregard any such activity when determining whether a Qualifying Action has been completed and may withhold, cancel, reverse or recover any Referral Reward attributable to such activity.

5.3. Reward sharing and incentivised referrals. Unless expressly permitted under the applicable Referral Offer, you must not offer, promise, provide or agree to provide any Referred User with money, cashback, kickbacks, rebates, fee reimbursements, a share of your Referral Reward or any other financial or non-financial benefit as an inducement or condition for:

(a) registering with CEX.IO;

(b) using your Referral Link or Referral Code;

(d) entering into a transaction;

(e) completing a Qualifying Action; or

(f) otherwise using CEX.IO Services.

5.4. Sybil networks and coordinated Accounts. You must not use, control, coordinate with or benefit from any network of Accounts established or operated for the purpose of obtaining Referral Rewards or circumventing these Referral Terms. This restriction includes Accounts:

(a) directly or indirectly owned or controlled by you;

(b) held through nominees, intermediaries, companies or other entities controlled by or acting for you;

(d) participating in reciprocal or mutual-referral arrangements; or

(e) forming part of any coordinated referral, reward-farming or account-farming network.

5.5. Bonus and promotion farming. You must not participate in, organise, facilitate or promote activity primarily intended to obtain, recycle or repeatedly harvest Referral Rewards, welcome bonuses, promotional credits or other CEX.IO incentives without genuine use of the relevant Services.

5.6. No spam. You must not send unsolicited bulk messages, emails, texts or other communications containing a Referral Link or Referral Code. You must comply with all Applicable Laws relating to electronic marketing, direct marketing and unsolicited communications.

5.7. No misrepresentations. You must not mislead or attempt to mislead any person in connection with the Referral Program. In particular, you must not:

(a) misrepresent your relationship with CEX.IO;

(b) state or imply that you are an employee, representative, agent, partner or authorised intermediary of CEX.IO;

(d) guarantee or imply any particular investment return, profitability or future price of a Digital Asset;

(e) represent any CEX.IO Service as risk-free; or

(f) make any statement which is otherwise false, deceptive or misleading.

5.8. No impersonation. You must not create or use any website, application, social-media profile, account, domain name or other communication which falsely represents or is reasonably likely to be mistaken for an official CEX.IO property or communication.

5.9. Paid advertising. Unless CEX.IO has given prior written approval, you must not:

(a) bid on or purchase advertising using “CEX.IO”, “CEX”, “CEXIO” or any confusingly similar CEX.IO trade mark, trade name, domain name or branded term;

(b) use a Referral Link or Referral Code in paid search advertising; or

(c) use CEX.IO trade marks in domain names, social-media usernames or other identifiers in a manner which creates or is reasonably likely to create confusion with CEX.IO.

5.10. Prohibited advertising and tracking techniques. Unless expressly authorised by CEX.IO, you must not use:

(a) incentivised-traffic networks;

(b) pop-up, pop-under or automatic redirect advertising;

(d) bot-farm or other non-human traffic;

(e) domain typosquatting or cybersquatting involving CEX.IO trade marks;

(f) link cloaking or techniques which conceal the true source or destination of a referral;

(g) forced clicks or forced redirects;

(h) adware or browser injection;

(i) cookie stuffing, click injection or last-click hijacking; or

(j) any technique which removes, modifies, substitutes, masks or otherwise interferes with Referral Codes, Referral Links, UTM parameters or other attribution or tracking information.

5.11. No malicious technology. You must not use spyware, malware, viruses, malicious browser extensions or any similar software or technology in connection with the Referral Program.

5.12. No mass public distribution. Unless expressly permitted by the applicable Referral Offer or approved by CEX.IO in writing, a Referrer must not publish, post or distribute a Referral Link, Referral Code or other referral mechanism to large, indiscriminate or non-targeted audiences, including through public social-media posts, public messaging groups, referral-code forums, paid promotion, mass messaging, automated distribution or similar channels. CEX.IO may treat any such activity as Prohibited Referral Activity where it creates legal, regulatory, financial-promotion, consumer-protection, spam, fraud, traffic-quality or reputational risk.

5.13. Excluded qualifying activity. Unless expressly stated otherwise in the applicable Referral Offer, CEX.IO may exclude from Qualifying Actions any activity which it reasonably determines to be artificial, circular, low-risk, abusive, uneconomic or inconsistent with the intended purpose of the Referral Offer, including wash trading, self-trading, matched trading, circular trading, artificial volume generation, repetitive fiat-stablecoin or stablecoin-stablecoin conversions, bonus farming, reward farming, transactions reversed or funded by promotional credits, or any other activity specified as excluded in the applicable Referral Offer.

6. JURISDICTIONAL RESTRICTIONS

6.1. The Referral Program and the underlying Services are subject to jurisdictional and regulatory restrictions. You must not knowingly target, solicit or otherwise promote a Referral Program to a person where:

(a) the Referral Program is not available to that person;

(b) the relevant Services are not available to that person;

(d) such activity would breach Applicable Law.

6.2. The technical accessibility of a Referral Link, Referral Code, website, application or other communication from a particular jurisdiction does not mean that the Referral Program or any CEX.IO Service is available or lawfully offered in that jurisdiction.

6.3. CEX.IO may impose additional entity-specific, jurisdiction-specific, User-specific or product-specific restrictions where reasonably necessary to comply with Applicable Law or applicable regulatory requirements.

7. SANCTIONS, FINANCIAL CRIME AND PROHIBITED JURISDICTIONS

7.1. You must not use the Referral Program to refer, target, solicit or facilitate access to CEX.IO Services by any person where you know or reasonably should know that such person:

(a) is subject to applicable sanctions or restrictive measures;

(b) is located, incorporated or ordinarily resident in a jurisdiction in which the relevant CEX.IO Services or Referral Program are prohibited or restricted;

(d) is seeking to use the Referral Program or CEX.IO Services for an unlawful purpose.

7.2. You must not use the Referral Program to facilitate money laundering, terrorist financing, sanctions evasion, fraud or any other financial crime.

7.3. CEX.IO may immediately suspend or terminate your participation in the Referral Program, invalidate referrals, withhold, cancel, reverse or recover Referral Rewards and take any other action available under the applicable Terms of Use or Applicable Law where CEX.IO reasonably suspects a breach of this Clause.

7.4. CEX.IO may retain, use and disclose information relating to your participation in the Referral Program where required or permitted by Applicable Law, including to competent governmental, law-enforcement, judicial, supervisory or regulatory authorities.

8. UNITED KINGDOM FINANCIAL PROMOTION RESTRICTIONS

8.1. The availability and promotion of Referral Programs in or into the United Kingdom are subject to applicable United Kingdom financial promotion requirements. Unless CEX.IO expressly identifies a Referral Offer as available in the United Kingdom, a Referral Program offering a monetary or non-monetary incentive in connection with investment activity relating to a qualifying cryptoasset is not available to persons in the United Kingdom.

8.2. You must not use a Referral Link, Referral Code or Referral Materials to target, solicit, market to or otherwise promote CEX.IO Services to persons in the United Kingdom unless CEX.IO has expressly confirmed that:

(a) the relevant Referral Offer is available in the United Kingdom; and

(b) the relevant communication may lawfully be made in accordance with applicable United Kingdom financial promotion requirements.

8.3. Where CEX.IO expressly permits a Referral Offer to be promoted in the United Kingdom, you must:

(a) use only Referral Materials supplied or expressly approved by CEX.IO for use in the United Kingdom;

(b) comply with all instructions, restrictions and conditions specified by CEX.IO;

(c) reproduce any prescribed risk warning, risk summary, disclosure, legend or other wording exactly as provided by CEX.IO;

(d) not remove, obscure, abbreviate, amend or supplement any required disclosure; and

(e) comply with all Applicable Laws governing financial promotions.

8.4. Unless CEX.IO gives its prior written approval, you must not:

(a) create, modify or supplement any UK-facing promotional communication relating to the Referral Program;

(b) use Referral Links or Referral Codes in paid advertising, sponsored content, influencer marketing or other public promotional activity directed at persons in the United Kingdom; or

(c) make any statement concerning a Digital Asset or CEX.IO Service for the purpose of encouraging a person in the United Kingdom to engage in investment activity.

8.5. Nothing in these Referral Terms authorises you to communicate or approve a financial promotion on behalf of CEX.IO. Participation in the Referral Program does not make you an authorised person, appointed representative, agent, intermediary or other person authorised to communicate or approve financial promotions for or on behalf of CEX.IO.

8.6. CEX.IO may immediately suspend, restrict or terminate any Referral Program, Referral Offer or Referral Link in or into the United Kingdom where reasonably necessary to comply with Applicable Law, an applicable regulatory requirement or supervisory expectation.

9. CEX.IO’S RIGHTS AND RESPONSIBILITIES

9.1. As a participant in the Referral Program, you represent, warrant and agree that:

(a) you will participate honestly and in good faith;

(b) all information provided by you to CEX.IO in connection with the Referral Program is accurate, complete and not misleading;

(d) you will not make any representation, warranty or commitment on behalf of CEX.IO;

(e) you will not hold yourself out as having authority to bind CEX.IO;

(f) you are responsible for your own costs and expenses associated with participation in the Referral Program; and

(g) you will promptly notify CEX.IO if you become aware of suspected fraud, misuse or unlawful activity relating to your Referral Link or Referral Code.

9.2. Where you make a public communication containing a Referral Link or Referral Code, you must clearly and prominently disclose that you may receive a benefit if another person uses your Referral Link or Referral Code, where such disclosure is required by Applicable Law.

9.3. You are responsible for ensuring that your promotional and referral activities comply with Applicable Law in each jurisdiction in which your communications are directed or made available. This includes, where applicable, requirements relating to advertising, financial promotions, consumer protection, electronic communications, endorsements and disclosures, data protection and unfair or misleading commercial practices.

9.4. CEX.IO may review, monitor and investigate activity relating to the Referral Program for the purposes of:

(a) determining compliance with these Referral Terms;

(b) validating referral attribution;

(d) identifying fraud, manipulation or abuse;

(e) complying with Applicable Law; and

(f) protecting CEX.IO, its Users and third parties.

9.5. Where CEX.IO reasonably determines that you have breached these Referral Terms, engaged in fraud or abuse, or otherwise manipulated the Referral Program, CEX.IO may:

(a) invalidate a referral;

(b) exclude a Referred User from the Referral Program;

(d) reverse or recover a Referral Reward previously credited, to the extent permitted by Applicable Law;

(e) suspend or terminate your participation in the Referral Program;

(f) restrict or suspend your Account in accordance with the applicable Terms of Use;

(g) exclude you from future Referral Programs, promotions or campaigns; and/or

(h) exercise any other right or remedy available under the applicable Terms of Use or Applicable Law.

9.6. Where you use automated systems, artificial intelligence tools or third-party content-generation tools in connection with any Referral Materials or communications relating to CEX.IO, you remain fully responsible for ensuring that all resulting content is accurate, fair, clear, not misleading, not impersonating CEX.IO or any User, not presented as genuine user experience where it is not, and compliant with these Referral Terms, the applicable Referral Offer, CEX.IO instructions and Applicable Law.

10. REFERRED USERS

10.1. Every Referred User must independently satisfy the eligibility, onboarding, verification and other requirements applicable to the relevant Services.

10.2. CEX.IO may accept or reject a Referred User, restrict the Services available to a Referred User, or suspend or terminate a Referred User’s Account in accordance with the Terms of Use applicable to that Referred User. No referral guarantees that a person will:

(a) be accepted as a User;

(b) successfully complete verification;

(d) complete a Qualifying Action.

10.3. The contractual relationship between CEX.IO and a Referred User is separate from your participation in the Referral Program. You have no right to act for or on behalf of a Referred User and no authority to give instructions to CEX.IO on behalf of a Referred User.

11. REFERRAL REWARD

11.1. Subject to these Referral Terms and the applicable Referral Offer, you may be eligible to receive a Referral Reward where a Referred User completes the applicable Qualifying Action.

11.2. The amount, type, denomination and calculation methodology of the Referral Reward will be specified in the applicable Referral Offer. Referral Rewards may differ depending on the Referral Offer, Relevant CEX.IO Entity, jurisdiction, Service or promotional period.

11.3. Unless otherwise stated in the applicable Referral Offer, a Referral Reward will become eligible only after:

(a) the Referred User has been validly attributed to you;

(b) the Referred User has completed all applicable onboarding and verification requirements;

(d) any applicable settlement, waiting or validation period has expired; and

(e) CEX.IO has completed any compliance, traffic-quality, fraud-prevention, reversal, refund, chargeback or other checks which CEX.IO reasonably considers necessary.

11.4. Any Referral Reward displayed as pending, estimated, accrued or provisional is not final and does not constitute an amount unconditionally due and payable to you.

11.5. CEX.IO may withhold, cancel, reverse or adjust a Referral Reward where:

(a) the applicable eligibility requirements have not been satisfied;

(b) the applicable Qualifying Action is cancelled, reversed, refunded, charged back or otherwise invalidated;

(d) the Referral Reward was calculated or credited in error; or

(e) payment or crediting of the Referral Reward would breach Applicable Law.

11.6. Chargebacks, reversals and refunds. Where a Referral Reward is based, directly or indirectly, on a deposit, purchase, transaction or other Qualifying Action which is subsequently cancelled, reversed, refunded, charged back, disputed, determined to be unauthorised or otherwise invalidated:

(a) the corresponding Referral Reward shall not become payable; or

(b) if already credited or paid, CEX.IO may reverse, deduct, set off or recover the corresponding Referral Reward to the extent permitted by Applicable Law.

11.7. Repeated chargebacks, reversals, refunds or other invalidated Qualifying Actions associated with your Referred Users may result in enhanced review, suspension or termination of your participation where CEX.IO reasonably determines that the relevant pattern indicates fraud, abuse, manipulation or material traffic-quality concerns.

11.8. The applicable Referral Offer may specify:

(a) minimum or maximum Referral Rewards;

(b) limits on the number of Referred Users;

(d) maximum reward amounts;

(e) waiting or qualification periods;

(f) withdrawal or crediting thresholds; and

(g) any other conditions applicable to the Referral Reward.

11.9. Referral Rewards may be credited to your CEX.IO Account or made available through another method specified by the Relevant CEX.IO Entity, subject to Applicable Law and the Services available to you.

11.10. You are solely responsible for determining whether any taxes, duties, levies or other governmental charges apply to your receipt of a Referral Reward. CEX.IO may deduct or withhold any amount where required by Applicable Law.

11.11. A Referral Reward shall not be treated as vested, finally earned, unconditionally payable or finally credited unless and until CEX.IO has completed all applicable eligibility, attribution, onboarding, settlement, compliance, fraud-prevention, reversal, chargeback, sanctions, jurisdictional and regulatory checks and the Referral Reward has been finally credited or paid in accordance with the applicable Referral Offer.

11.12. CEX.IO may withhold, cancel, delay, reverse or refuse to credit any Referral Reward where, at the time the Referral Reward would otherwise be credited or paid, the Referrer’s Account or the Referred User’s Account is closed, suspended, restricted, under review, ineligible, not in good standing, subject to enhanced due diligence, or otherwise unavailable for reward crediting under the applicable Terms of Use or Applicable Law.

12. REFERRAL REWARD REVIEW AND PAYMENT HOLDS

12.1. CEX.IO may designate any referral activity or Referral Reward as Pending Review where CEX.IO reasonably considers that further review is required to determine whether the relevant referral, Referred User, traffic or Qualifying Action complies with these Referral Terms.

12.2. A Referral Reward may be placed under Pending Review where CEX.IO identifies, among other things:

(a) an unusual increase in referrals, registrations or Qualifying Actions;

(b) abnormal conversion, attribution or timing patterns;

(d) unusual connections between Referrers and Referred Users;

(e) unusual deposit, payment or transaction activity;

(f) chargeback, refund or reversal patterns;

(g) suspected manipulation, fraud or Prohibited Referral Activity; or

(h) information requiring further compliance, sanctions or regulatory review.

12.3. While a Referral Reward is Pending Review:

(a) it shall not be considered finally due or payable;

(b) CEX.IO may withhold crediting, payment or withdrawal of that Referral Reward; and

(c) you must provide such information and reasonable supporting evidence as CEX.IO may request to verify the legitimacy of the relevant referral activity.

12.4. CEX.IO will seek to complete a Pending Review within ninety (90) days. CEX.IO may extend that period where reasonably necessary due to the complexity of the review, dependency on a third party, an ongoing chargeback or payment investigation, suspected fraud or financial crime, or a legal, regulatory or law-enforcement requirement.

12.5. Following completion of the review, CEX.IO may validate, adjust, reject, cancel or reverse the relevant Referral Reward in accordance with these Referral Terms.

12.6. Retroactive Review. CEX.IO may conduct a retrospective review of referral attribution, Qualifying Actions and Referral Rewards for up to one hundred and eighty (180) days after the relevant activity or payment. Where CEX.IO subsequently identifies fraud, manipulation, attribution error, breach of these Referral Terms or other invalid activity, CEX.IO may, to the extent permitted by Applicable Law:

(a) amend previously reported statistics;

(b) reclassify or invalidate a referral or Qualifying Action;

(d) cancel an unpaid Referral Reward; or

(e) recover or set off a Referral Reward previously credited or paid.

12.7. The one hundred and eighty (180) day period in Clause 12.6 does not limit any longer review, recovery or retention period which is required or permitted under Applicable Law, including in connection with fraud, financial crime, sanctions, regulatory requirements or manifest error.

13. STATISTICS

13.1. Where available, you may view information concerning your referral activity and Referral Rewards through your Account or another interface designated by CEX.IO.

13.2. Referral statistics may include information concerning Referred Users, completed Qualifying Actions and Referral Rewards.

13.3. Information displayed through referral statistics is provided for informational purposes only and may be delayed, provisional, incomplete or subject to subsequent adjustment.

13.4. The appearance of a referral, registration, Qualifying Action or Referral Reward in any dashboard, report or statistics interface does not constitute final validation of that activity or an unconditional entitlement to payment.

13.5. CEX.IO’s records shall determine referral attribution and Referral Reward calculations, subject to manifest error and any mandatory rights available to you under Applicable Law.

14. INFORMATION, RECORDS AND COOPERATION

14.1. CEX.IO may request information reasonably necessary to verify your compliance with these Referral Terms or to investigate suspected fraud, manipulation, financial crime, sanctions breaches or other misuse of the Referral Program.

14.2. Where reasonably requested, you must provide information available to you concerning:

(a) the manner in which you distributed or promoted your Referral Link or Referral Code;

(b) the channels or platforms used;

(d) the source of relevant referral activity;

(e) any use of third parties in connection with public or organised promotional activity;

(f) any tracking or attribution method used by you; and

(g) any other information reasonably required by CEX.IO to investigate the relevant activity or comply with Applicable Law or a request from a competent authority.

14.3. Where you conduct public or organised promotional activity in connection with the Referral Program, you must retain reasonable records sufficient to demonstrate compliance with these Referral Terms for at least twelve (12) months following the relevant activity, unless Applicable Law requires a longer period.

14.4. Such records may include, where applicable, copies of promotional materials, records of distribution channels, consent or disclosure evidence, traffic-source information and other records reasonably relevant to demonstrating compliance.

14.5. Where CEX.IO requests information under this Clause, you must provide it within ten (10) Business Days, or within such shorter period as is reasonably required in urgent fraud, financial-crime, sanctions or regulatory circumstances.

14.6. Failure to provide reasonable cooperation or materially complete information may constitute a material breach of these Referral Terms and may result in suspension, withholding of Referral Rewards or termination of your participation.

14.7. Approved Referral Materials only. Referrers may use only Referral Materials, risk warnings, descriptions, statements, images, links, codes and other content supplied or expressly approved by CEX.IO for the relevant Referral Offer. A Referrer must not amend, supplement, translate, abbreviate, obscure or re-contextualise any Referral Materials, risk warning or mandatory disclosure without CEX.IO’s prior written approval.

15. REWARD DISPUTES

15.1. You must notify CEX.IO of any disagreement concerning the calculation or crediting of a Referral Reward within thirty (30) days after the relevant Referral Reward is credited or otherwise becomes available to you, unless Applicable Law requires a longer period.

15.2. You must provide sufficient information for CEX.IO to investigate the matter, including details of the relevant Referral Reward, Referred User or Qualifying Action where available. Nothing in this Clause limits any mandatory statutory or regulatory right which cannot lawfully be restricted.

16. RELATIONSHIP

16.1. You and the Relevant CEX.IO Entity are independent parties. Participation in the Referral Program does not authorise any Referrer to act as agent, representative, appointed representative, broker, dealer, investment adviser, financial adviser, payment intermediary, money transmitter, crypto-asset service provider, virtual-asset service provider, custodian, safeguarding provider or financial-promotion approver for or on behalf of CEX.IO. A Referrer must not state, imply or otherwise create the impression that it holds any such status or authority. Nothing in these Referral Terms creates any employment relationship, partnership, joint venture, franchise, fiduciary relationship, agency or authority for you to bind CEX.IO.

16.2. You may not negotiate, enter into agreements or make commitments on behalf of CEX.IO.

17. NON-EXCLUSIVE

17.1. The Referral Program is non-exclusive. Your participation in the Referral Program does not grant you any additional right to access or continue to use the CEX.IO Platform or Services.

18. INTELLECTUAL PROPERTY

18.1. CEX.IO grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use Referral Materials solely for the purpose of participating in the Referral Program and subject to these Referral Terms.

18.2. Except for the limited right expressly granted under Clause 18.1, no right, title or interest in any CEX.IO intellectual property is assigned, transferred or licensed to you.

18.3. You must use Referral Materials only:

(a) in the form supplied or expressly approved by CEX.IO;

(b) in accordance with any applicable CEX.IO brand guidelines; and

18.4. You must immediately cease using Referral Materials following termination or suspension of your participation or upon CEX.IO’s request.

19. CHANGES

19.1. CEX.IO may update or amend these Referral Terms, a Referral Offer or the Referral Program from time to time where reasonably necessary for legal, regulatory, compliance, security, technical, operational or commercial reasons.

19.2. CEX.IO may also change the eligibility criteria, Qualifying Actions, Referral Reward amounts or calculation methods, limits, territorial availability, programme duration or other conditions applicable to a Referral Offer.

19.3. Where required by Applicable Law, material changes will be communicated through the Platform, the relevant Referral Program page or another appropriate communication channel. Unless otherwise required by Applicable Law, changes will apply prospectively from the date specified by CEX.IO.

19.4. CEX.IO will not retrospectively reduce a Referral Reward which has become finally due and payable except where:

(a) the Referral Reward arose from fraud, abuse or a breach of these Referral Terms;

(b) the underlying Qualifying Action was cancelled, reversed, refunded or charged back;

(d) CEX.IO is required to do so under Applicable Law.

20. DISCLAIMER

20.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE REFERRAL PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

20.2. CEX.IO DOES NOT REPRESENT OR WARRANT THAT:

(a) THE REFERRAL PROGRAM WILL REMAIN AVAILABLE FOR ANY PARTICULAR PERIOD;

(b) ANY REFERRAL LINK OR REFERRAL CODE WILL OPERATE WITHOUT INTERRUPTION OR ERROR;

(d) ANY REFERRED USER WILL BE ACCEPTED AS A CUSTOMER;

(e) ANY REFERRED USER WILL COMPLETE A QUALIFYING ACTION; OR

(f) YOU WILL RECEIVE ANY MINIMUM AMOUNT OF REFERRAL REWARDS.

20.3. Nothing in these Referral Terms excludes any warranty, right or remedy which cannot lawfully be excluded under Applicable Law.

21. LIABILITY

21.1. The exclusions and limitations of liability set out in the Terms of Use applicable to your Account apply to these Referral Terms and the Referral Program as if set out in full.

21.2. Without limiting Clause 21.1 and to the maximum extent permitted by Applicable Law, the Relevant CEX.IO Entity shall not be liable for any loss arising out of or relating to:

(a) unsuccessful, delayed or inaccurate referral attribution;

(b) failure by a Referred User to complete a Qualifying Action;

(d) suspension, amendment or termination of the Referral Program in accordance with these Referral Terms;

(e) any third-party website, application, social-media platform or communication used by you in connection with the Referral Program;

(f) unauthorised use of your Referral Link, Referral Code or Account caused by your act or omission; or

(g) any act or omission of a Referred User or other third party.

21.3. Nothing in these Referral Terms excludes or limits liability for:

(a) fraud or fraudulent misrepresentation;

(b) any liability which cannot lawfully be excluded or limited; or

21.4. No CEX.IO group company other than the Relevant CEX.IO Entity shall have any liability to you under or in connection with the Referral Program solely because it is an Affiliate of the Relevant CEX.IO Entity or because the CEX.IO brand is used in connection with the Referral Program.

22. INDEMNITY

22.1. To the maximum extent permitted by Applicable Law, you agree to indemnify and hold harmless the Relevant CEX.IO Entity, its Affiliates and their respective directors, officers, employees and agents against losses, liabilities, fines, penalties, damages, claims, costs and reasonable external legal fees arising out of or in connection with:

(a) your material breach of these Referral Terms;

(b) fraud, wilful misconduct or Prohibited Referral Activity by you;

(d) any representation, undertaking or commitment made by you purporting to bind CEX.IO without authority; or

(e) any third-party claim arising from promotional content created or distributed by you in connection with the Referral Program,

except to the extent that the relevant loss results from the fraud, wilful misconduct or breach of Applicable Law by the Relevant CEX.IO Entity.

23. DATA PROTECTION

23.1. Personal data processed in connection with the Referral Program will be processed in accordance with the Privacy Policy applicable to the Relevant CEX.IO Entity and Applicable Law.

23.2. Unless CEX.IO expressly provides functionality requiring you to do so, you must not provide CEX.IO with personal data concerning another person solely for the purpose of making a referral.

23.3. Where you independently process personal data in connection with your participation in the Referral Program, you are responsible for ensuring that such processing complies with Applicable Law.

23.4. Unless CEX.IO expressly agrees otherwise in writing, these Referral Terms do not create a controller-processor relationship between the parties. Any personal data processing remains subject to the Privacy Policy, the applicable Terms of Use and Applicable Law. Where you independently contact, market to or communicate with any prospective Referred User, you are responsible for complying with applicable direct-marketing, electronic-communications, consent, notice, opt-out and data-protection requirements.

24. TERM AND TERMINATION

24.1. These Referral Terms apply from the earlier of the date on which you:

(a) generate or obtain a Referral Link or Referral Code;

(b) share or distribute a Referral Link or Referral Code;

(d) claim or receive a Referral Reward.

24.2. You may cease participating in the Referral Program at any time by ceasing to use or distribute your Referral Link or Referral Code and, where available, disabling your participation through the Platform.

24.3. CEX.IO may suspend or terminate your participation where:

(a) you breach these Referral Terms or an applicable Referral Offer;

(b) your Account is suspended, restricted or terminated;

(d) your participation may expose CEX.IO or any CEX.IO group company to legal, regulatory, financial, operational, security or reputational risk;

(e) you fail to cooperate with a review under Clauses 12 or 14;

(f) the Referral Program is suspended or discontinued; or

(g) CEX.IO reasonably considers suspension or termination necessary to comply with Applicable Law.

24.4. Upon termination:

(a) your right to participate in the Referral Program shall cease;

(b) you must cease using Referral Materials;

(d) Referral Rewards accrued before termination shall remain subject to these Referral Terms, including any applicable validation, Pending Review, withholding, cancellation, adjustment or recovery rights.

24.5. Termination shall not affect any right, obligation or liability accrued before termination. Any provision which by its nature is intended to survive termination shall continue to apply.

25. GOVERNING LAW, COMPLAINTS AND DISPUTES

25.1. The governing law, jurisdiction, complaints procedure and dispute-resolution provisions contained in the Terms of Use applicable to your Account apply to these Referral Terms and your participation in the Referral Program.

25.2. Any complaint concerning the Referral Program may be submitted through the support or complaint channels identified in the applicable Terms of Use or on the CEX.IO Platform.

25.3. Nothing in these Referral Terms limits any mandatory statutory, regulatory or consumer rights available to you under Applicable Law.

26. GENERAL

26.1. Entire Agreement. These Referral Terms, the applicable Referral Offer and the Terms of Use constitute the agreement between you and the Relevant CEX.IO Entity relating to your participation in the applicable Referral Program. In the event of any inconsistency between these Referral Terms and any dashboard, banner, email, push notification, landing page, FAQ, social-media post, support article, calculator, estimated reward display, account interface or other promotional or operational communication, these Referral Terms shall prevail, except where the applicable Referral Offer or Official Rules expressly vary a commercial or operational mechanic and such variation is permitted by Applicable Law and the applicable Terms of Use.

26.2. No Waiver. No failure or delay by CEX.IO in exercising any right or remedy shall constitute a waiver of that right or remedy.

26.3. Severability. If any provision of these Referral Terms is held to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

26.4. Assignment. You may not assign or transfer any right or obligation under these Referral Terms without the prior written consent of the Relevant CEX.IO Entity. The Relevant CEX.IO Entity may assign or transfer its rights or obligations under these Referral Terms to another CEX.IO group company in accordance with the applicable Terms of Use and Applicable Law.
