Promotion and Reward Center Terms

These Promotion and Reward Center Terms (“Promotion Terms”) govern your participation in any marketing or incentive campaign made available by CEX.IO under which an eligible user may receive or become entitled to any benefit, including (without limitation) any bonus, reward, cashback, fee rebate, trading fee balance top-up, coin reward, mystery box, badge, task, mission, contest, competition, giveaway, or similar offer made available through any CEX.IO Site, mobile app, Reward Center, or other official CEX.IO channel (each a “Promotion”).

These Promotion Terms supplement and form part of the Terms of Use that govern your CEX.IO Account and the Services provided to you. They do not novate, replace, or otherwise derogate from the Terms of Use. Capitalised terms not defined in these Promotion Terms have the meaning given to them in the applicable Terms of Use.

If there is any inconsistency or conflict between: (i) these Promotion Terms and the specific terms, conditions and rules published by CEX.IO for that Promotion applicable to a particular Promotion ("Official Rules"), the Official Rules prevail solely in respect of the mechanics, criteria, rewards and operational details of that Promotion; and (ii) these Promotion Terms or  Official Rules, and the applicable Terms of Use - the Terms of Use prevail in all other respects, including, without limitation, account opening and operation, use of Services, risk disclosures, AML/CTF and sanctions compliance, fees, limitations of liability, governing law and dispute resolution.

1. Sponsor

1.1. For the purposes of these Promotion Terms, the following CEX.IO entities may act as the organiser, sponsor and fulfiller of Promotions:

CEX.IO Corp., a company organised under the laws of State of Delaware, with principle place of business at 100 SE 2nd St, Suite 3852 Miami, Florida, 33131, USA;

CEX.IO EU VASP, UAB, a company organised under the laws of Lithuania, with registered office at Didžioji st. 18, LT-01128, Vilnius, Republic of Lithuania;

CEX OVRS LLC, a company organised under the laws of Nevis, with registered office at Suite 1, A.L. Evelyn LTD Building, Charlestown, Nevis.

(Each of the above, to the extent it is identified  as your contractual counterparty under the applicable Terms of Use, is referred to in these Promotion Terms as “CEX.IO”, “Sponsor”, “we”, “us”, or similar).

1.2. The same Sponsor is, in each case, the sole organiser, sponsor and fulfiller of any Promotion that you are eligible to participate in and under which any reward, rebate or prize is credited to your Account. Your country or region of residence and the products you use may determine which Terms of Use apply to you and which Promotions you are eligible for, but they do not create a different Sponsor.

1.3. Promotions, reward types and mechanics may be made available only by certain Sponsor and only in certain jurisdictions or for certain user segments. Where a Promotion or reward is described as limited to specific entities, countries, states, territories, products or users, that limitation is determinative, and any broader general wording in these Promotion Terms is treated as not applicable to you to the extent it would conflict with such limitation or with applicable laws and regulations.

2. Official Rules for individual Promotions

2.1. A particular Promotion may be governed by Official Rules, for example as to eligibility, qualifying actions, reward amount or type, limits, time periods, selection criteria, or other Promotion-specific mechanics. The Official Rules may be presented in the Reward Center, on a dedicated promo or landing page, within an in-app or web message, by email, or through any other official CEX.IO communication channel.

2.2. By opting into, taking any step to participate in, or accepting any benefit under a Promotion, you confirm that you have read and agree to be bound by both: (a) these Promotion Terms; and (b) the applicable Official Rules for that Promotion (if any), in each case as amended from time to time in accordance with their terms and applicable law.

3. Eligibility and jurisdictional availability

3.1. You may participate in a Promotion only if, at the time of participation and during the Promotion:

1. are not located in a Restricted Location;
2. you have a valid and active Account with the relevant Sponsor;
3. you meet all eligibility criteria set out in these Promotion Terms and in the applicable Official Rules (if any), including but not limited to age, verification (KYC/KYB), and account-status requirements; and
4. You are not otherwise ineligible to participate under applicable law.

The Official Rules for a particular Promotion may specify additional categories of persons who are not eligible to participate (e.g., certain CEX.IO employees involved in the design or administration of that Promotion).

3.2. Promotions, reward types, and mechanics may not be available in all countries, states, or territories, or for all Services or user segments. Where a Promotion or reward is described as being limited to certain jurisdictions, products, or users (e.g., “US only”, “EEA only”, “new users only”, or limited to specific Sponsor), that limitation is controlling, regardless of any broader wording in these Promotion Terms or the Official Rules.

3.3. Promotions are void where prohibited or restricted by law. CEX.IO may refuse, suspend, or terminate your participation in any Promotion, or decline to grant a reward, where it reasonably considers this necessary to comply with applicable law, regulation, regulatory guidance, or compliance policies.

3.4. By participating, you represent and warrant that you meet all eligibility criteria.

3.5. Participation in Promotions is entirely optional and is not a condition for opening or maintaining an Account or using the Services.

3.6. For the purposes of any Promotion, a qualifying action counts only if it is fully completed and settled within the promotion period specified in the Reward Center, the App or the Official Rules (the “Promotion Period”). Actions that are only initiated or pending, or that are cancelled, rejected, reversed, failed or executed outside the Promotion Period, do not qualify. CEX.IO’s system records and timestamps are conclusive for determining when an action was completed for these purposes, save for manifest error.

4. Participation in Promotions, Tasks and Rewards

4.1. To participate in a Promotion, you may be required to:

1. opt in or actively join the Promotion (e.g., via the Reward Center or a dedicated promo page);
2. complete one or more qualifying actions during the Promotion Period; and/or
3. satisfy any additional conditions set out in the applicable Official Rules.

4.2. CEX.IO’s records of opt-ins, actions and timestamps are conclusive for determining whether you have validly participated and whether a reward is due, save for manifest error.

4.3 Task Types. Promotions may use one or more of the following task structures (each a “Task”), as further described in the Official Rules or the Reward Center description:

1. One-time Task - one eligible user may receive the relevant reward only once (e.g., “make your first deposit”, “claim your CEX.IO Card”);
2. Recurrent Task - each qualifying action may generate a separate reward, subject to any limits or caps (e.g., “deposit and get fees back as trading fee rebates”, “pay with CEX.IO Card and get cashback in crypto”);
3. Cumulative Task - eligible user must reach a defined threshold of volume or number of identical actions (e.g., “spot trade for at least USD 10,000 equivalent”, “complete 10 card transactions”);
4. Mission - a bundle or sequence of different actions that must all be completed (e.g., “complete your first deposit, first convert, first spot trade and invite a friend”).

4.3.1. The Official Rules may combine, modify or further specify these Task Types for a particular Promotion.

4.3.2. Some Promotions may grant Rewards for referring or inviting other persons to use the Services or to join a Promotion (“Referrals”). You must not, in connection with any Referral:

1. engage in spamming, unsolicited bulk or aggressive commercial communications, or any other form of unlawful or misleading marketing;
2. make any statement about CEX.IO, the Services or any Promotion that is false, misleading, incomplete or inconsistent with official CEX.IO communications; or
3. offer or advertise any unofficial incentives, rebates or benefits that are not described in the relevant Promotion or otherwise authorised by CEX.IO.

4.3.2.1. You are responsible for ensuring that any person you refer has consented to being contacted and that your referral activities comply with all applicable advertising, privacy, anti-spam and consumer-protection laws and regulations in the relevant jurisdictions.

4.3.2.2. CEX.IO may withhold, cancel or claw back any Referral-based Rewards, and/or disqualify you from Referral Promotions, where it reasonably believes that your referral activity breaches this Section 4, Terms of Use or applicable law.

4.4. Reward. Subject to jurisdictional availability and product limitations, you may be granted with one or more of the following benefits, which are offered on a promotional and discretionary basis and are ancillary to your use of the Services (each, a “Reward”), including without limitation:

1. Spot Trading Fee Reward - a credit to your Trading Fee Balance for spot trading, which is non-withdrawable and may only be used to cover eligible spot trading fees;
2. Coin Reward - a fixed or variable amount of one or more supported digital assets credited to your Account;
3. Mystery Box - a specific type of Reward mechanic where: (i) you open a virtual “box” or similar interface; (ii) the digital asset and/or amount you receive is determined at random from a predefined set of possible outcomes; and (iii) the set of possible outcomes and, where required by law, their probabilities or ranges are disclosed in the Official Rules or Reward Center description.
4. Badge or other non-monetary recognition - a digital badge, status or similar non-monetary acknowledgement, which has no intrinsic monetary value unless expressly stated in the Official Rules.

4.5. Rewards are personal, non-transferable, non-assignable and may not be sold, pledged or otherwise exchanged, except as expressly permitted by CEX.IO.

4.6. Participation in any Promotion does not require you to provide any payment or other form of consideration for the purpose of entering or taking part in that Promotion. 

4.7. Some Promotions may result in Rewards being credited automatically to your Account or to the relevant Trading Fee Balance once the qualifying action is completed. Other Promotions may require you to manually claim a pending Reward within the App (e.g., via the Reward Center). Where a Reward must be manually claimed, it will only vest and be credited if you claim it within the time period stated in the Reward Center, the App, or the Official Rules. Unless otherwise specified in the Reward Center, the App or the Official Rules, CEX.IO will use reasonable endeavours to credit such claimed Rewards promptly after a valid claim is made, but the exact timing and processing method may vary between Promotions and may be updated by CEX.IO from time to time. If you do not claim a Reward within that period (e.g., within 30 days of it becoming available), the pending Reward may automatically expire and be cancelled, and you will have no further entitlement to it. 

4.8. For certain Promotions, the Reward may be presented as a range of possible amounts or values (e.g., “between X and Y” or “up to X”). In such cases, the actual Reward amount or value credited to you will be determined individually for you in accordance with the mechanics described in the Reward Center, the App or the applicable Official Rules. Those mechanics may include, without limitation, random allocation within the stated range or allocation based on your activity, segment or other criteria specified for that Promotion. The fact that a range is displayed does not mean that all users will receive the same amount or that you will receive the maximum amount in that range.

4.9. CEX.IO may apply expiry periods, minimum or maximum usage rules and other parameters as described in the Official Rules. Once expired, unused Trading Fee Balances or other rewards may be cancelled.

4.10. CEX.IO does not guarantee that any particular Task type, Reward type, or Reward value will be available at any time or in any jurisdiction, or that Rewards will retain any particular value. All Promotions and Rewards are subject to change, suspension or withdrawal in accordance with these Promotion Terms, the Official Rules and applicable law.

4.11. If, at the time a Reward is scheduled to be credited or delivered, your Account is closed, suspended, restricted, or otherwise classified as ineligible under the applicable Terms of Use CEX.IO may withhold, cancel, or refuse to credit that Reward, in whole or in part.

4.12. You acknowledge and agree that, as a condition to receiving any Reward, CEX.IO may require you to submit additional information or documentation within the timeframe and in the manner specified by CEX.IO. If you fail to provide such information or documentation to the CEX.IO’s satisfaction, CEX.IO may treat you as ineligible for the relevant Reward and withhold or cancel it.

4.13. You may not assign, transfer or otherwise dispose of any rights or obligations arising from a Promotion, these Promotion Terms or any Official Rules. 

5. Calculation of Rewards, corrections and misuse

5.1 Eligibility for a Promotion, completion of Tasks, and the calculation and allocation of any Rewards are determined by the CEX.IO on the basis of its internal records (including, without limitation, trade data, deposit and withdrawal records, card transaction logs, KYC/verification status and timestamps). Those records are conclusive for the purposes of the Promotion, save for manifest error.

5.2. CEX.IO may correct any technical, operational or clerical error affecting a Promotion or a Reward, including (without limitation) where: (i) a Reward was credited in the wrong amount, currency, or form; (ii) a Reward was credited to an ineligible user or for ineligible activity; (iii) the same Reward was credited more than once; or (iv) a display, configuration or system error mis-stated your eligibility, progress, or Reward amount.

5.3. To the extent permitted by applicable law, Promotion Terms and/or the Terms of Use, CEX.IO may cancel, reverse, adjust, or set off any erroneously credited Reward, or require you to repay or return it.

5.4. Misuse, abuse and prohibited behaviour. You must not engage in any activity that the CEX.IO reasonably considers to be abusive, fraudulent, manipulative or contrary to the spirit or fair operation of a Promotion, including (without limitation): (i) violating these Terms or the Terms of Use; (ii) providing false or misleading information; (iii) creating or using multiple Accounts or acting in concert with others to obtain duplicate or unintended Rewards; (iv) wash trading, self-trading, circular trading, artificial volume generation or other activity designed primarily to obtain Rewards rather than to use the Services in good faith; (v) attempting to bypass or circumvent eligibility, jurisdictional or product restrictions; (vi) exploiting any bug, vulnerability, configuration error or other defect in the platform or in the Promotion mechanics; (vii) attempting to meet any qualifying trading requirement by relying on transactions that are not counted as eligible trades under the applicable Official Rules, including, without limitation, any pattern of transactions designed primarily to cycle between fiat and stablecoins, or between stablecoins (e.g., repetitive fiat–stablecoin or stablecoin–stablecoin trades); or (vi) any conduct that would breach applicable AML/CTF, sanctions, market-abuse, consumer-protection or other laws and regulations.

5.4.1. Without limiting any rights under the applicable Terms of Use or at law, where the CEX.IO reasonably suspects or confirms misuse, abuse, fraud or other prohibited behaviour in connection with a Promotion, it may: (i) disqualify you from the relevant Promotion and any future Promotions; (ii) cancel, withhold, claw back or refuse to credit any associated Rewards; (iii) suspend, restrict or close your Account in accordance with the Terms of Use; and/or (iv) report relevant activity to competent authorities or other parties where required or permitted by law.

6. Tax, Risk and No Advice

6.1. Without prejudice to any tax provisions Terms of Use applicable to you:

1. any Reward you receive under a Promotion may be subject to income, capital gains, withholding or other taxes, as well as reporting obligations, in one or more jurisdictions;
2. you are solely responsible for determining and fulfilling any tax obligations arising from your participation in Promotions and from the receipt, holding, use or disposal of any Reward; and
3. CEX.IO does not provide tax advice and does not assume any responsibility for your tax treatment. You should obtain independent professional advice if you are unsure about the tax consequences of any Promotion or Reward.

6.2. No investment, legal or financial advice. Any information made available in connection with a Promotion (including descriptions of Tasks, Rewards, examples, probability tables, or potential benefits) is provided for general informational and promotional purposes only and does not constitute: (i) investment, financial, trading, tax or legal advice; (ii) a recommendation or solicitation to buy, sell or hold any digital asset; or (iii) an invitation to engage in any particular trading or investment strategy.

6.3. You should make your own independent assessment as to whether to participate in a Promotion, use any Reward, or enter into any transaction, having regard to your own circumstances and risk tolerance.

6.4. Digital assets and the services through which Promotions are offered are subject to significant risks, including price volatility, liquidity risk, technology and cybersecurity risk, regulatory changes and other uncertainties. Any digital asset, fee credit or other Reward granted under a Promotion is subject to the same underlying risks as comparable non-promotional holdings or benefits, as described in the applicable Terms of Use and risk disclosures.

6.5. Participation in a Promotion and receipt of any Reward does not guarantee any profit, yield, interest, or positive return, nor does it provide protection against loss, including loss of principal or loss due to market movements or liquidation events. Promotions are optional and are not a condition for opening or maintaining an Account or using the Services.

7. Changes,Suspension and Termination of Promotions

7.1. CEX.IO is under no obligation to offer any Promotion and may decide, in its sole discretion and to the extent permitted by applicable law, whether to launch, continue, limit, or discontinue any Promotion.

7.2. To the extent permitted by applicable law, CEX.IO may at any time:

1. modify, cap, or otherwise adjust the availability, mechanics, Tasks, or Rewards of a Promotion on a prospective basis; and/or
2. restrict participation for certain users, jurisdictions, products, or Services,

except as otherwise permitted by these Promotion Terms or applicable law.

7.3. CEX.IO may suspend or terminate a Promotion, in whole or in part, with immediate effect where it reasonably considers this necessary or appropriate, including without limitation where:

1. required by law, regulation, regulatory guidance, court order, or a request from a competent authority;
2. there is an actual or suspected security incident, system failure, fraud, abuse, or other integrity risk affecting the Promotion; or
3. continuing the Promotion would create disproportionate operational, legal, regulatory, or financial risk.

7.4. Where reasonably practicable, CEX.IO will use appropriate communication channels to inform you of such suspension or early termination. Sometimes we may need to make these changes with immediate effect, so any notice we provide may come shortly before or after the change takes effect and does not mean that we must give advance notice or keep a Promotion running on the same terms.

7.5. Where a Reward requires manual claim and remains in a “pending” or “to claim” status, it will only vest if claimed within the applicable claim period. If a Promotion is suspended or terminated, any such pending or unclaimed Rewards may expire or be cancelled at the end of the applicable claim period, unless otherwise required by law or expressly stated in the Official Rules.

8. Governing Law, Dispute Resolution and Limitation of Liability

8.1. These Promotion Terms, Official Rules and any Promotion you participate in are governed by, and must be interpreted consistently with, the governing law and dispute-resolution provisions set out in the Terms of Use applicable to you. 

8.2. Any dispute, claim or controversy arising out of or in connection with a Promotion, these Promotion Terms or any Official Rules shall be dealt with in accordance with the jurisdiction, venue, arbitration and forum-selection contained in the applicable Terms of Use, as if such dispute, claim or controversy formed part of the same agreement.

8.3. To the maximum extent permitted by applicable law and without prejudice to the limitation of liability provisions in the applicable Terms of Use, by participating in a Promotion you agree to, and hereby do, release, discharge and hold harmless CEX.IO and its affiliates, and their respective directors, members, officers, employees, contractors and agents, from and against any and all damage, loss, claim, action, demand, cost or other liability of any kind or nature (collectively, “Claims”) arising out of or in connection with your participation in the Promotion or your acceptance, receipt, use, inability to use or misuse of any Reward, except to the extent that such Claims arise directly from fraud, gross negligence or wilful misconduct of CEX.IO where such liability cannot be excluded or limited under applicable law.

8.4. To the extent permitted by applicable law and without prejudice to the limitation of liability, exclusion of damages and disclaimer provisions contained in the applicable Terms of Use, any liability of CEX.IO and its affiliates arising out of or in connection with any Promotion, these Promotion Terms or any Official Rules:

1. is subject to, and shall not exceed, the overall caps and limitations set out in the applicable CEX.IO Terms of Use; and
2. in any event, will not exceed the lower of: (i) the total monetary value of the Rewards properly earned by you under the specific Promotion giving rise to the claim; and (ii) any applicable aggregate liability cap specified in the relevant CEX.IO Terms of Use.

8.5. Without prejudice to the limitation of liability and disclaimer provisions in the applicable Terms of Use, you acknowledge and agree that CEX.IO is not responsible for, and shall have no liability in respect of, any failure, delay, error or omission arising from or related to:

1. any interruption, degradation or unavailability of your internet connection, mobile network, hardware, software, devices, browsers or other equipment;
2. any malfunction, failure or configuration issue on your side (including firewalls, VPNs, ad blockers, email filters or security software) that affects your ability to access, view or interact with the Site, mobile apps, Reward Center or other Promotion interfaces; or
3. any other interference with your ability to participate in a Promotion, including (without limitation) your ability to submit or complete Tasks, receive or read notices, or otherwise communicate with CEX.IO in a timely manner.

9. Data protection, communications and publicity

9.1. By participating in a Promotion, you acknowledge and agree that any information, content or other data you submit in connection with a Promotion, and any information collected or generated CEX.IO in administering the Promotion (including your Account data, eligibility status, Task completion and Reward allocation), may be used CEX.IO for the purposes of: (i) operating, administering and monitoring the Promotion; (ii) preventing fraud, abuse and misuse; (iii) complying with applicable laws, regulations and regulatory requests; and (iv) internal reporting, analytics and service improvement, in each case in accordance with Privacy Policy applicable to you.

9.2. Communications related to Promotions. CEX.IO may contact you using the contact details associated with your Account (including email, in-app messages, push notifications or SMS, where enabled) for purposes connected with the Promotion, such as eligibility notices, updates, confirmations or disclosures required by law. Where permitted by applicable law and your existing communication preferences, CEX.IO may also send you marketing or promotional communications relating to Promotions or related products and services. You may manage your marketing preferences at any time in accordance with the instructions provided in such communications or in your Account settings, without affecting your participation in a Promotion where such communications are not strictly necessary.

9.3. Privacy Policy. Except as otherwise described in these Promotion Terms or in the Official Rules, personal data collected, used and shared in connection with a Promotion will be processed in accordance with the privacy policy applicable to your relationship with the applicable Sponsor, as made available on the relevant CEX.IO website or application and as amended from time to time.
