Affiliate Terms of Use

THESE AFFILIATE TERMS OF USE (“AFFILIATE TERMS”) CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU (THE “AFFILIATE PARTNER” OR THE “REFERRER” DEPENDING ON THE TYPE OF THE PROGRAM) AND CEX.IO.

BY COMPLETING THE REGISTRATION PROCESS TO BECOME (i) A CEX.IO AFFILIATE PARTNER, AND/OR (ii) PARTICIPATING IN THE CEX.IO AFFILIATE PROGRAM, AND/OR (iii) PARTICIPATING IN THE CEX.IO REFERRAL PROGRAM YOU ARE CONFIRMING YOUR AGREEMENT TO THESE AFFILIATE TERMS ON BEHALF OF YOURSELF, OR IF YOU REPRESENT A COMPANY OR OTHER ENTITY, ON BEHALF OF THAT COMPANY OR ENTITY.

DO NOT PARTICIPATE IN THE AFFILIATE PROGRAM AND/OR THE REFERRAL PROGRAM IF YOU DO NOT AGREE TO THESE AFFILIATE TERMS.

These Affiliate Terms supplement, and form part of, our standard Terms of Use. Accordingly, capitalized terms used, but not defined in these Affiliate Terms, have the meanings set out in the Terms of Use.

Please refer to our Privacy Policy for information on how we collect, use and disclose information from our Users. You acknowledge and agree that your use of the Services is subject to our Privacy Policy.

KEY DEFINITIONS

“CEX.IO” refers to a specific CEX.IO entity (hereinafter-“CEX.IO/we/us”) mentioned below, depending on User’s residence, place of registration and/or nationality.

“Affiliate Program” means a CEX.IO program that allows you to earn a Reward, as defined in these Affiliate Terms, by referring Users to our Services. When a User registers an Account using your unique Affiliate Link, they become a “Member” under this program. To participate, you need a specialized Affiliate Partner account on our platform or an external account with Scaleo or another cooperating software provider. Individuals participating in this program are termed “Affiliate Partners.” Participation requires meeting the eligibility criteria specified in these Affiliate Terms.

“Referral Program” means a CEX.IO program that enables you to earn a Reward, as defined in these Affiliate Terms, by referring Users who register an Account through your Referral Link. When a User registers an Account using your unique Referral Link, they become a “Member” under this program. Participants in this program are called “Referrers.” To participate in this program as a Referrer, you must (i) hold a registered account on the CEX.IO platform and (ii) meet the eligibility criteria set out in these Affiliate Terms.

“Program” refers to both the Affiliate Program and the Referral Program.

These Affiliate Terms apply to Users served by:

1. CEX OVRS LLC (ST. KITTS AND NEVIS), a limited liability company, established and existing under the laws of Nevis, company number: L 22275, with registered office address at Suite 1, A.L. Evelyn LTD Building, Charlestown, Nevis.

2. CEX.IO EU VASP, UAB (LITHUANIA), a limited liability company, established and existing under the laws of the Republic of Lithuania, company number: 306186479, with registered office address at Didžioji st. 18, Vilnius, Republic of Lithuania. CEX.IO EU VASP, UAB is registered as the Virtual Asset Service Provider (VASP) and depository virtual currency wallets operator in the State Enterprise Centre of Registers of the Republic of Lithuania lists.

3. CEX.IO Corp. (USA) with its principal address at 900 E. Diehl Road, Suite 110, Naperville, Illinois 60563 which provides its services on the Platform only to Users in the United States of America and from supported States.

Please be advised that the Affiliate Program and Referral Program for the UK is currently suspended until further notice.

Please consider the following important limitations before deciding whether to participate in the Program.

By entering the Program regardless of the method of entry, you acknowledge that you have read, understand, and completely agree to these Affiliate Terms, as updated and amended from time to time. If you wish not to be bound by these Affiliate Terms, as updated and amended from time to time, you have to either: (1) never enter, generate or send an Affiliate Link or Referral Link (defined below), or (2) cease your participation in the Program by opening a support ticket and completing the process required by CEX.IO.

Participation in the Program is available to Users who have accounts with CEX.IO or who have completed the required insertion orders (or any other agreement specified by CEX.IO or any related entities involved in the CEX.IO Program).

Your participation in the Program is always entirely at CEX.IO’s discretion. You can be removed from the Program at any time for any reason or no reason. If you violate the Affiliate Terms, you can be immediately removed from the Program and any amounts you may have received or been entitled to receive under it may be forfeited.

CEX.IO reserves the right to review and investigate all Program activities and to suspend any User’s participation or modify any conditions in CEX.IO’s sole discretion as deemed fair and appropriate. Please be informed that CEX.IO will have the right to cover any proved damage caused by the Affiliate Partner’s and/or Referrer actions using their funds on the CEX.IO Platform. CEX.IO will also be eligible to revoke Program’s total reward for violations of these Affiliate Terms, Terms of Use, as well as for fraud, refunds, cancellations, and chargebacks or a substantial change in business circumstances.

1. Description

1.1 CEX.IO’s Affiliate Program is powered through Scaleo (Owly Labs s.r.o.) affiliate marketing software (hereinafter “Scaleo”), or any other tool or platform, as may be identified by CEX.IO from time to time. The Affiliate Program allows you to elect to participate in receiving Revenue from Users you refer to the Services who open an Account using an Affiliate Link (provided by CEX.IO and / or a link created through Scaleo or any other tool or platform as may be identified by CEX.IO from time to time). Participation in the Affiliate Program is not required to use the Site or Services. You can participate in the Referral Program by referring Users who register an Account through your Referral Link.

1.2 Enrollment in the Affiliate Program. In order to be considered for participation in the Affiliate Program as an Affiliate Partner, you must meet the following eligibility criteria:

a) either to have a verified account on the CEX.IO Platform or an executed insertion order (or any other agreement required by CEX.IO);

b) to complete the registration with Scaleo on their website, or on any other tool or platform as may be specified by CEX.IO from time to time.

1.3 Enrollment in the Referral Program. In order to be considered for participation in the Referral Program as a Referrer, you must be registered on CEX.IO Platform. In order to have the ability to withdraw the Reward you should have a verified account on CEX.IO Platform.

You understand and agree that we may accept or reject you as our Affiliate Partner or Referrer at any time at our sole discretion. Reasons for rejection include but are not limited to the following:

If any of the information you provide is inaccurate or incomplete;
If your website promotes content of a misleading, fraudulent, defamatory, obscene, violent, illegal, harassing, hateful, or pornographic nature;
If you have had your access to CEX.IO Platform terminated due to violation of the Terms of Use;
For any other reason we may deem fit to reject your application.

It is your responsibility to keep your username and password information secure. YOU MAY NOT SHARE YOUR LOGIN CREDENTIALS WITH ANY OTHER PERSON OR ENTITY.

You understand and agree that, if you opt out of receiving our email communications or ask us to delete your personal data, your participation in the Program may be terminated by CEX.IO.

2. Referral Code

2.1 Under the Affiliate Program and Referral Program, CEX.IO may provide you with a unique alphanumeric or other code (cumulatively - the “Referral Code”; separately - the “Affiliate Link” for the Affiliate Program and the “Referral Link” for the Referral Program) to distribute to eligible individuals each to become new Users. You acknowledge and agree that: (a) CEX.IO have the right to limit the number of times you may use or share your Referral Code, (b) you have no ownership rights in any form over the Referral Code, and (c) CEX.IO may reclaim, deactivate, invalidate or terminate your Referral Code at any time at CEX.IO’s sole discretion.

2.2 In the event that you have executed an insertion order (or any other agreement required by CEX.IO), you will use a special link created through (i) Scaleo or (ii) CEX.IO Platform or (iii) any other service we use to distribute to eligible individuals, who will then become new users. You acknowledge and agree that Scaleo or any other service we use may restrict the use of the aforementioned link.

2.3 CEX.IO may reclaim, deactivate, invalidate or terminate the aforementioned link at any time at CEX.IO’s sole discretion.

2.4 Affiliate Partners and Referrers are required to have the ability to edit the Affiliate Link and Referral Link they publish on their chosen platforms, such as blogs, social media, websites, and other mediums.

3. Restrictions

3.1 Affiliate Partners may invite eligible individuals to become new Users by distributing Affiliate Links directly and instructing them to input the aforementioned links during the sign-up process. Affiliate Partners must disclose that they are eligible to receive an Affiliate Reward (defined below) in connection with a use of their Affiliate Links. Referrers (defined below) may invite eligible individuals to become new Users by distributing Referral Links directly and instructing them to input the aforementioned links during the sign-up process. Referrers must disclose that they are eligible to receive an Referral Reward (defined below) in connection with a use of their Referral Links. Both Affiliate Partners and Referrer are prohibited from 'spamming' anyone with referral invitations.

3.2 No spamming. You agree that you will not 'spam' anyone with invitations to join the CEX.IO Platform either under the Affiliate Program or Referral Program. Further, you acknowledge and agree that the following activities are prohibited under these Affiliate Terms: (a) mass emailing, texting or messaging people you do not personally know or otherwise engaging in any other promotion that would constitute or appear to constitute unsolicited commercial email or 'spam', (b) use of automated systems or bots through any channel to distribute, post or respond to your Affiliate Links or Referral Links, and (c) use of scripts, programmed or automatic dialers to send invites or to communicate an Affiliate Link or Referral Link. Without limiting the foregoing, you agree to comply with all local, state and federal laws and regulations governing your obligations under these Affiliate Terms, including but not limited to all applicable laws that govern marketing emails, including the anti-spam laws.

3.3 No Misrepresentations. You agree that you will not mislead or attempt to mislead anyone in connection with the Program, either by affirmative representation, implication, or omission. Further, you agree that you will not: (a) create fake accounts, webpages, profiles, websites, or links, (b) misrepresent your relationship with CEX.IO or any other third party, including but not limited to suggesting an affiliation or partnership exists with a third party where none exists, (c) make misleading claims about CEX.IO, including but not limited to misleading claims about the specifications, features of functionality of the Services provided by CEX.IO or the Program, (d) act in an unfair or disruptive manner, or (e) otherwise make any false or misleading statements to get an invitee to use your Affiliate Link or Referral Link. Further you agree that you will not undertake any deceptive or fraudulent methods to increase your Reward.

3.4 Prohibited content. You agree that you will not use the CEX.IO brand in connection with: (a) disparaging or defamatory content concerning CEX.IO or third parties, involved in providing Services to you; (b) offensive, abusive, intimidating or harassing content; or (c) content that violates the law or rights of anyone else. You agree that CEX.IO has sole discretion to make the determination as to whether such content is present.

3.5 Creating an additional account. You agree that you will not create any additional Accounts for self-inviting through multiple accounts. We check for duplicate or fake Accounts and it can be a reason for deleting you from the participation in the Program.

3.6 Using paid advertising with branded key-words. You agree that you will not use words such as “cex.io”, “cex”, “cexio” or any other look-alike, sound-alike, or other “CEX.IO“ branded terms in your advertising materials. Such branded terms include but not limited to all CEX.IO logos, and the names of all CEX.IO products, offerings, and services, regardless of whether CEX.IO has applied for or obtained a trademark or service mark on or for any of them.It is necessary to prevent any confusion with the official CEX.IO domains. Do not post your own CEX.IO Affiliate Links or Referral Links as advertisements on search engines such as Google, Bing, Baidu, etc.

3.7 Sharing links using fake accounts. You agree that you will not create or use any fake webpages, profiles in social media, making fraud actions or any other prohibited unlawful actions.

3.8 No Cookie-Stuffing. You may not use any form of cookie-stuffing techniques or click-generators that set tracking cookies or that result in apparent clicks without the user (a live human) actually clicking on Affiliate Links or Referral Links. You may not artificially generate clicks or impressions on your site or on any social media platform or to create visits on the CEX.IO site, whether by way of a robot or software program or otherwise.

3.9 No Use Of Spyware, Malware, Viruses And The Like. You may not make any use of any form of spyware, malware, trojan, tracker, or virus, or any such things, in connection with any Affiliate Link and/or Referral Link or otherwise in connection with the Program.

3.10 No Use Of Browser Extensions To Promote CEX.IO Without Written Approval. You may not create, offer, sell, distribute, or otherwise provide any browser extension related to CEX.IO without our prior written approval.

3.11 Non-Disparagement. In exchange for receiving Reward, you agree that you will not publicly disparage CEX.IO or any of its products or services or owners, directors, or staff, whether during or after your participation in the Program.

3.12 You acknowledge and agree that CEX.IO may terminate your participation in the Program if you violate any part of this Section 3, or any other provision, of these Affiliate Terms.

4. Responsibilities

4.1 As a participant of the Program, you represent, warrant, and agree to all of the following:

4.1.1 You acknowledge that the purpose of the Program is to encourage new Users to the Site and Services. You agree to act in good faith in accordance with this intention.

4.1.2 You agree to maintain all of the websites, social media accounts, and newsletters you use to promote CEX.IO.

4.1.3 You must not refer any User who is a contractor or service provider to CEX.IO.

4.1.4 You must comply with all applicable laws in connection with your activities under the Program, including when referring Users to the Site or Services.

4.1.5 You must not, directly or indirectly, allow any of the following Accounts to be one of your Members: (i) an Account owned or controlled by you or a member of your immediate family or household, or (ii) an Account owned or controlled by a user who is already a User of the Site or Services.

4.1.6 You should inform CEX.IO if you discover that any other third party makes fraud or other unlawful actions.

4.1.7 You should be responsible for covering any damage caused to CEX.IO by any kind of unlawful action, caused by yourself or any third party who was provided an Affiliate Link or Referral Link by you.

4.1.8 You are responsible for any costs or expenses associated with your activities referring Users to the Site or Services. You incur those costs and expenses entirely at your own risk.

4.1.9 You must ensure that any statements you make in connection with referring Users to the Site or Services are (i) professional, accurate, and truthful; (ii) not misleading or deceptive (for example, do not embellish the nature of your relationship with CEX.IO); and (iii) not offensive, illegal or obscene.

4.1.10 You agree not to engage in any electronic messaging that is prohibited by applicable laws, illegal solicitation, or fraudulent or deceptive solicitation.

5. CEX.IO’s Rights

5.1 As a participant of the Affiliate Program or the Referral Program, you acknowledge and agree that CEX.IO holds the following rights with respect to you, in addition to any other rights outlined in these Affiliate Terms:

(a) We Can Monitor your Site: You hereby give us the right to monitor your website to make sure that you are complying with these Affiliate Terms and to notify you of any changes we believe you should make to your website to remain in compliance. We reserve the right to terminate your participation in the Program if you fail or refuse to make such changes after we have so notified you.

(b) We Determine the Terms Applicable to Referred Users: Persons who become Users of our Service through Affiliate Links or Referral Link made in the Program will be bound by our Terms of Use, rules, and policies, which are subject to change from time to time. We reserve the right to not accept anyone as a User, and to terminate any User’s account and/or access to the Service if in our sole discretion they violate any of our Terms of Use, rules, or policies, even if such a termination affects your right to the Reward under the Program.

6. Reward

6.1 Except in jurisdictions in which payment of Affiliate Reward or Referral Reward is not permitted, and/or where we have not accepted you to be an Affiliate Partner or Referrer, and/or where you have violated these Affiliate Terms, you will be eligible to earn Affiliate Reward or Referral Reward as set forth in this Section 6.

6.2 A Reward (either an Affiliate Reward or Referral Reward) is earned when a new User completes the following steps: (i) clicks on an Affiliate Link or Referral Link, and (ii) creates a verified Account on the CEX.IO Site linked to that Affiliate or Referral Link. A new User who completes these steps will be referred to as a “Member.” In these Affiliate Terms, the term “Reward” includes both the Affiliate Reward and Referral Reward.

6.3 You will be credited with a set amount of Reward (Revenue Share reward or Cost Per Action reward, or any other payment model as agreed by the parties) earned from the Account the Member opened with your Affiliate Link or Referral Link.

6.4 The amount of the Reward may be determined by your Commission Plan or otherwise determined by CEX.IO and may be amended by CEX.IO at any time.

6.4.1 Revenue Share (RevShare) reward means a revenue model in which the Affiliate Partners earn a percentage of the revenue generated by referred Members over time. The percentage of the revenue you receive will be thirty percent (30%) and may be amended by CEX.IO at any time. In order to maintain RevShare income, you need to attract at least 5 new Members every month. If no new Members have been attracted within 3 months, RevShare charges may be reduced or disabled at our sole discretion.

6.4.2 Cost Per Action (CPA) reward means a revenue model in which the Affiliate Partners receive a fixed commission based on specific actions (such as deposits).

6.4.3. Provisions of Section 6.4.1 - 6.4.2 also apply to Referral Reward.

6.5 Payments will be made to you within 30 to 45 days after a Member completes the qualifying action. The total sum of all your rewards constitutes your total Reward.

6.6 In order to qualify for the Reward, the following criteria must be met:

a) you need to complete the enrollment procedure as specified in 1.2 for Affiliate Program and 1.3 for Referral Program;

b) you need to provide the unique ID (UP number) in the Scaleo account (or on any other tool or platform as may be specified by CEX.IO from time to time) or to furnish this number to the manager via the established communication channels (mail, telegram, Skype) for Affiliate Program. In the absence of a UP number, payments can only be made subsequent to the execution of an insertion order (or any other agreement required by CEX.IO).

c) the Members referred by the Affiliate Partner or the Referrer must complete transactions on CEX.IO Platform which include both purchases (for RevShare reward) and/or deposits (for CPA reward).

6.7 In case when the Member utilizes available to them CEX.IO Spot Trading Fee Balance according to the respective Terms of Use to cover the exchange transaction fees (in case of Revenue Share Commission Plan), the Affiliate Partner and Referrer will not receive the Reward.

6.8 The Reward is not earned when any or all of the following is the case: The referring party is not an Affiliate Partner or the Referrer, the Affiliate Partner or Referrer has violated any provision of these Affiliate Terms.

6.9 If we determine that payment of the Reward is not permitted under any applicable laws, or the Member violated any law when creating Account on the CEX.IO Platform, or we find out of your violation of these Affiliate Terms or applicable law resulted in the Member creating Account on the CEX.IO Platform, we reserve the right to not pay the Reward.

6.10 You are solely responsible for any and all government-imposed taxes and levies, and any and all fees charged by your bank or other financial institution, in connection with or because of your receipt of the Reward.

6.11 We do not cover any crypto network fees or expenses. This means that if the Referrer or Affiliate Partner chooses to withdraw their Reward, they will receive the net amount after all applicable crypto network fees or expenses are deducted.

6.12 To be eligible to withdraw the Reward, the Referrer must complete KYC verification on the CEX.IO platform.

6.13 The crediting of funds may be subject to delays caused by network congestion, banking processing times, or other factors that could impact the timing of the crediting process. The Reward may take up to five (5) business days to be credited. The minimum amount required for the processing of the Reward may vary. The current minimum amount will be displayed in the Referral Program page (https://profile.cex.io/referral-program).

7. Conversion

7.1 The Reward may be paid in USD, USDT, or USDC, at the sole discretion of CEX.IO, with the conversion rate between these currencies consistently maintained at a fixed 1:1:1 ratio. The Reward may be credited to the Affiliate Partner or Referrer verified CEX.IO account balance as a top-up, deposited into the verified CEX.IO account, transferred to another cryptocurrency wallet or bank account, or provided through any other method agreed upon in a separate individual agreement, if applicable.

7.2 The Reward will be based upon CEX.IO’s good faith calculation and information available to CEX.IO. CEX.IO is not responsible for any portion of the Reward not properly being credited to you that CEX.IO is unaware of, including due to computer error or other reasons.

7.3 CEX.IO reserves the right to utilize third-party services, companies, entities, or alternative methods for Reward payments. CEX.IO may, at its sole discretion and without prior notice to the Affiliate Partner or Referrer, modify the method of payment.

8. Statistics

8.1 You can check the activity of your Members and the amount of the Reward you get on the old Statistics page and / or new Statistics page and / or your personal account created on Scaleo (or on any other tool or platform as may be specified by CEX.IO from time to time).

8.2 On the Statistics pages referenced above, the respective fields display the number of Members who have performed specific actions, such as registering an account, logging into the CEX.IO Platform, depositing funds, or placing an order.

8.3 The “Fees” column shows the total amount of fees your Members paid for the completed trades on the given date.

8.4 The “Reward” section shows the exact total amount of the Reward in USD, unless otherwise decided by CEX.IO.

8.5 Information on the Statistics page is updated in real-time.

8.6 If the Affiliate Partner chooses not to create an account on the CEX.IO Platform, their statistics will only be available through their personal account on Scaleo (or on any other tool or platform as may be specified by CEX.IO from time to time).

8.7 Important Update Regarding Access to Statistics: The previous referral statistics will remain available in the User's account dashboard via the existing link (https://cex.io/affiliate-program), covering the period up to November 30, 2024. Beginning November 30, 2024, new referral statistics will be accessible through the new referral program page (https://profile.cex.io/referral-program). Affiliate statistics may be available either on the CEX.IO platform or on an external platform, Scaleo (or on any other tool or platform as may be specified by CEX.IO from time to time).

9. Information

9.1 CEX.IO will make reasonable efforts to provide you with information regarding each Affiliate Link or Referral Link you distribute that is used by a Member to open an Account. However, this information may occasionally be unavailable, such as during system maintenance or updates, or if CEX.IO elects to discontinue reporting for specific Members, Affiliate Partners, or Referrers.

10. Notification

10.1 You must notify CEX.IO of any disagreement regarding any Reward within thirty (30) days of receipt of the applicable Reward. Any failure to raise a disagreement within that time period is your acceptance of the Reward as full and final settlement of the amount you are entitled to receive under the Program. If CEX.IO does not receive your written notice of disagreement within thirty (30) days from the date you received the applicable Reward, you shall be deemed to have waived any right to dispute such Reward.

11. Relationship

11.1 Both you and CEX.IO are independent contractors and nothing in this agreement will create any partnership, joint venture, franchise, sales representation, or employment relationship between you and CEX.IO.

12. Non-exclusive

12.1 The Program is not exclusive. Your participation in the Program does not grant you any additional right to use or continue to use the Site or Services.

13. Changes

13.1 CEX.IO may update or amend the Terms of Use, Affiliate Terms, Site, Services, the Reward and Commission Plans, fees charged in connection with the Services or other elements of the transactions contemplated by these Affiliate Terms at any time (“Changes”). CEX.IO may make Changes for any reason or no reason without notice. These Changes may make your participation in the Program more or less valuable to you and may result in you no longer being eligible to participate in the Program. Please be informed that your continued participation in the Program following the Changes will constitute your binding acceptance of these Changes.

14. Disclaimer

14.1 WE MAKE NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING CEX.IO, THE PROGRAM, OR THE CEX.IO SERVICES. ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. CEX.IO MAKES NO REPRESENTATION THAT THE OPERATION OF OUR WEBSITE OR OF ANY SIGN-UP PAGE OR PROCESS WILL BE UNINTERRUPTED OR ERROR FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

15. Liability

15.1 In addition to the Limitation of Liability set out in the Terms of Use, CEX.IO also assumes no liability or responsibility for and shall have no liability or responsibility for any losses directly or indirectly arising out of or related to:

15.1.1 these Affiliate Terms;

15.1.2 the Program and your participation in it;

15.1.3 any communications you have with a Member or other User regarding the Program;

15.1.4 any breach of these Affiliate Terms;

15.1.5 any failure by you to comply with applicable laws (including laws governing privacy or electronic messaging, disclosure laws, etc.); and

15.1.6 any negligent or intentional acts or omissions by you.

15.2 You hereby agree to release the CEX.IO from liability for any and all losses, and you shall indemnify and save and hold the CEX.IO harmless from and against all losses. The foregoing limitations of liability shall apply whether the alleged liability or losses are based on contract, negligence, tort, unjust enrichment, strict liability, violation of law or regulation, or any other basis, even if the CEX.IO have been advised of or should have known of the possibility of such losses and damages, and without regard to the success or effectiveness of any other remedies.

16. Licenses

16.1 You hereby grant us a non-exclusive, non-transferable, revocable right to use your personal and company names, titles, and logos in the advertising, marketing, promoting, and publicizing of the Program.

16.2 We both agree not to use the other’s names or other proprietary materials in any manner that portrays the other in a negative light. Other than the rights explicitly granted to you in these Affiliate Terms, we each retain all right, title, and interest in and to our respective rights, and no right, title, or interest in anything or any form or type of property not stated in these Affiliate Terms is hereby transferred to the other.

17. Term

17.1 Your participation in the Program, and the applicability of these Affiliate Terms, begins when you use an Affiliate Link for the Affiliate Program or a Referral Link for the Referral Program as part of setting up your Account, or when you distribute an Affiliate or Referral Link to any User or take other actions to engage a User in the Program. These Affiliate Terms will remain in effect indefinitely thereafter, until your participation in the Program terminates. Upon termination, you will immediately forfeit eligibility to receive any portion of the Reward. However, these terms will continue to govern any post-termination obligations or rights.
